BRAND-CREATOR AGREEMENT

This Agreement is made between:

- Licensed To Glow ("Brand")

- Creator Name ("Creator")

Effective Date: 2/10/2026

1. Scope of work

- Deliverables: Brand operates a subscription marketplace that provides members access to premium spa services. For campaign purposes, Brand will issue Creator a unique creator discount code that allows Creator to obtain a monthly subscription at zero or de minimis cost solely to create the Deliverables (“Creator Membership”). Each time Creator uses the Creator Membership to book and receive a service appointment at a participating salon (each, an “Appointment”), Creator shall produce and publish not fewer than one (1) TikTok/Reel posts per Appointment that, taken together, cover the Appointment experience (e.g., tease/setup, service/behind-the-scenes, results/aftercare). Exact concepts may vary by salon and the relevant Brand brief. In addition, Creator may produce innovative Licensed To Glow content that does not involve attending a salon appointment (e.g., lifestyle integrations, creative skits, tutorials, or other content that mentions, features, or promotes Licensed To Glow). Such non-Appointment content will also qualify as Deliverables if aligned with Brand guidelines and approved by Brand.

- Posting Requirements: Creator will include any required hashtags, mentions, or disclosures (#licensedtoglow) in accordance with applicable laws and Brand guidelines.

- Content Guidelines: Brand will provide any necessary creative direction or guidelines regarding messaging, tone, or visual elements.

- Brand Feedback: Brand feedback and new hooks will be implemented on a weekly basis if provided.

2. Timeline

- Creator will begin posting or delivering the content by 2/10/2026

3. Payment Structure

- Eligible Content: Only social media content that is about Licensed To Glow and includes the required campaign hashtag #licensedtoglow in captions will qualify for compensation. In addition, to be eligible for view count, each video must feature Licensed To Glow or service experience for at least three (3) seconds.

- Base Rate (10k increments). Creator earns $100 for every 100,000 valid views on each eligible post on TikTok, Instagram (posts or Reels), or other Brand-approved platforms, as reported by the platform’s official analytics.

Payouts are calculated in 100,000-view increments (e.g., 100k, 200k, 300k…).
Fractional increments are not paid until the next full 100k is reached.

- Payment Schedule. Brand will pay within 14 calendar days after all Deliverables for the relevant Appointment (or salon activation, if grouped by brief) are completed and accepted under Section 1. Creator must track all eligible posts and their view counts using Growi. Total views are counted for 30 calendar days. Whenever the Creator’s cumulative valid views across all eligible content increase by one or more full 100,000-view blocks since the last payout, the Creator may request payment by sending a DM to Brand’s designated payments representative. The Creator may request after a single 100k block or bundle multiple blocks (e.g., 200k/300k/400k) at their discretion.

-Maximum Payout: Brand will not payout beyond 3m views per video. (e.g., a video with 4.4m videos will be paid out $3,000)

4. Rights and Usage

- Work-Made-for-Hire & Assignment. To the fullest extent permitted, the parties intend the Deliverables (including video, captions, thumbnails, stills, raw footage, outtakes, and edits) to be “works made for hire.” If any Deliverable (or element) is not a work-made-for-hire, Creator hereby irrevocably assigns to Brand all right, title, and interest worldwide in and to the Deliverables, including all copyrights and renewals, and will execute further documents as reasonably requested to effectuate such assignment. To the extent permitted by law, Creator waives any moral rights in the Deliverables.

- Brand Usage. Brand may use, edit, adapt, repost, advertise/boost (including whitelisting), and otherwise exploit the Deliverables in any media, worldwide, in perpetuity, including paid ads, organic social, websites, email, retail, PR, and internal uses.

- Likeness/Publicity Rights. Creator grants Brand a worldwide, perpetual license to use Creator’s name, image, likeness, voice, and biographical information as embodied in the Deliverables for the foregoing uses.

- Content Preservation. Creator agrees not to delete, archive, or remove Deliverables from their social media accounts for at least twelve (12) months following publication, unless required by law or platform policy.

5. Representations and Warranties

- Compliance: Creator warrants that the Deliverables do not infringe the rights of any third party and comply with all relevant regulations, including disclosure requirements (FTC, ASA, etc.).

- Brand Guidelines: Creator agrees to follow Brand's guidelines, if provided, and will not publish content that misrepresents, defames, or harms the Brand.

- Brand Accuracy: Brand warrants that any instructions or materials provided to Creator will be accurate and in compliance with applicable laws.

6. Independent Contractor

- Creator is engaged as an independent contractor, not as an employee, partner, or agent of Brand. Nothing in this Agreement shall be construed as creating an employer-employee relationship, partnership, or joint venture.

7. Confidentiality

- Any confidential information (e.g., upcoming product launches, pricing, or marketing plans) shared by either party must remain confidential unless agreed otherwise in writing.

- Creator shall keep all Brand-related information, including but not limited to campaign details, compensation, content strategies, and account access credentials, strictly confidential. No account access or campaign details may be shared with any third party without prior written consent from Brand.

8. Term and Termination

- Term: This Agreement starts on the Effective Date and continues until both parties have fulfilled their obligations (e.g., Deliverables posted, payment made).

- Termination: Either party may terminate this Agreement at any time, with or without cause, effective immediately upon written notice to the other party. Upon termination, (i) Creator will promptly cease work and deliver to Brand all Deliverables and in-progress materials (including raw assets) created through the termination date; and (ii) Brand will pay, within the timeframes in Section 3, for accepted Deliverables completed before termination and reimburse pre-approved, documented out-of-pocket expenses incurred prior to termination. Except for the foregoing amounts, no further fees or damages shall be due. Sections intended to survive (including Rights & Usage, Confidentiality, Representations & Warranties, Governing Law, and Payment/Expenses) will survive termination.

9. Governing Law

- This Agreement is governed by the laws of New York, without regard to conflict-of-law principles.

10. Dispute Resolution

- Any dispute, controversy, or claim arising out of or relating to this Agreement shall first be resolved through good-faith negotiation between the parties. If unresolved, the parties agree to binding arbitration in New York County, New York, in accordance with the rules of the American Arbitration Association.

11. Entire Agreement

- This Agreement constitutes the entire understanding between the parties regarding the subject matter and supersedes all prior agreements, written or oral. Any changes must be in writing and signed by both parties.

12. Optional Provision

- Non-Circumvention: If Creator is introduced to a salon, spa, or other Brand partner through this campaign, Creator shall not enter into a direct commercial arrangement with such party for similar services for a period of twelve (12) months following the Effective Date, without Brand’s prior written consent.

- Account Ownership: Any social media accounts created by or provided to Creator for campaign purposes are the sole property of Brand. Creator shall provide access credentials upon request and shall not change passwords or grant third-party access without Brand’s consent.

13. Acknowledgment of Terms

- By signing below, the Receiving Party affirms that they have read, understood, and agreed to all terms stated in this Agreement. This Agreement reflects the full understanding between the parties regarding the scope of work, ownership rights, and responsibilities.
